By using our website, services, and solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as any additional terms and conditions that apply to specific services or packages.

2. Services Provided
GetNinjaAssistant offers a range of services, including but not limited to:
- Part-time and full-time Executive Assistant (EA) services
- Virtual Assistant (VA) support
- Access to internal departments (marketing, tech, HR, accounting)
- Bundled productivity tools (e.g., ChatGPT Plus, Slack Pro, calling software)
All services provided are subject to these Terms of Service. We work closely with clients to ensure solutions align with their strategic and operational needs.
3. Client Responsibilities
To ensure a smooth working relationship, clients are responsible for:
- Providing accurate, complete, and timely information during onboarding and service delivery
- Responding to assistant and team communications promptly
- Granting necessary access to tools, platforms, and resources for effective task execution
- Respecting time boundaries and workload capacity as outlined in the selected service tier
4. Payment and Fees
All payments are due based on the subscription plan selected and outlined in your agreement.
- Services are billed in advance on a monthly basis
- A 7-day free trial or money-back guarantee may be offered as outlined
- Work beyond the agreed scope may be billed separately
We reserve the right to pause services or withhold deliverables if payments are not made on time.
5. Intellectual Property
All deliverables produced by GetNinjaAssistant during service delivery (documents, workflows, materials) become the property of the client upon full payment.
- Internal tools, templates, processes, and training assets remain the property of GetNinjaAssistant
- Third-party tools and software remain subject to their own licensing terms
6. Confidentiality
We respect the confidentiality of all client information and workflows.
- All assistants and team members are under strict NDAs
- Data shared with us will not be disclosed to any third party without written consent, except where required by law or as part of delivering the agreed services
7. Service Timelines
We aim to provide services within the agreed timelines and maintain consistent coverage aligned with the client’s time zone.
- Timeline adjustments may occur due to changes in scope, lack of feedback, or unforeseen events
- Any delays or updates will be communicated promptly
8. Revisions and Changes
We allow a reasonable number of revisions during onboarding and throughout the engagement.
- Major shifts in scope or requests outside of the service package may require a separate agreement or incur additional charges
- Assistant replacements can be requested and are covered under our 48-hour guarantee
9. Limitation of Liability
While we aim to provide exceptional service, GetNinjaAssistant is not liable for:
- Any indirect, incidental, or consequential damages
- Business losses, revenue drops, or missed opportunities arising from the use of our service
Our total liability in any case is limited to the amount paid by the client in the 60 days prior to the claim.
10. Termination of Services
Either party may terminate the service with written notice:
- Clients may cancel with 5 days’ notice before the next billing cycle
- GetNinjaAssistant reserves the right to terminate service due to breach of agreement, non-payment, or inappropriate behavior
- In case of early termination, the client will be billed for services rendered up to the termination date
11. Third-Party Tools
GetNinjaAssistant includes access to third-party tools as part of our service.
- These tools (e.g., ChatGPT Plus, Slack Pro, international calling tools) are licensed to us and made available as part of our support workflow
- These are subject to their own terms of service, and we are not responsible for their functionality or changes in their policies
12. Dispute Resolution
If a dispute arises, both parties agree to make a good faith effort to resolve it through discussion or mediation before taking legal steps.
We aim to resolve issues quickly and fairly in partnership with our clients.
13. Changes to Terms of Service
GetNinjaAssistant reserves the right to update or change these Terms of Service at any time.
Clients will be notified of material changes, and continued use of our services constitutes acceptance of the revised terms.
14. Governing Law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes will be subject to the exclusive jurisdiction of the courts of the Province of Quebec.
